Terms of Service

These Terms of Service govern your access to and use of GreenPalate websites and services. By accessing our site or booking services you accept these terms. If you do not agree, please do not use the site or request services. These terms form a binding agreement between you and GreenPalate LLC, located at 14 Green Market St, Suite 3B, Portland, OR 97214, United States. Scope of services and bookings

GreenPalate offers menu consulting, private dining, event catering, workshops, and meal plan services. Service details are set out in written proposals and confirmed by email. A confirmed booking requires an accepted proposal and any required deposit. Proposals include menu, guest counts, service style, staffing, rentals, and any venue constraints. Client responsibilities include providing accurate event details, access to the venue, necessary permits, and up-to-date dietary requirements for guests. Any changes to confirmed specifications should be communicated promptly; certain changes may result in additional charges. We aim to accommodate reasonable changes, but cannot guarantee availability for modifications made within restricted timelines prior to an event.

Payments, deposits, and final billing

A deposit is required to secure event dates, typically 25 to 50 percent of the estimated fee as described in the written proposal. Final payment is due in accordance with the proposal, commonly before the event or on the event date. Payment methods and invoicing terms are specified in the proposal. If additional services or guest count increases occur after confirmation, the final invoice will reflect those changes. All fees are stated in US dollars and do not include applicable taxes unless explicitly listed. If a client fails to pay by the due date, GreenPalate reserves the right to suspend services, invoice interest, or cancel the booking in line with the cancellation terms below. For corporate accounts and special arrangements terms may be adjusted in a separate written agreement.

Cancellation, rescheduling, and refunds

Cancellation policies are described in each proposal. Generally, cancellations more than 14 days before the event may qualify for a partial refund of the deposit, less any non-recoverable costs. Cancellations within 14 days of the event may forfeit the deposit. Rescheduling requests are handled on a case-by-case basis and may require an additional deposit if the new date incurs additional costs or staffing changes. If GreenPalate must cancel due to circumstances beyond our control, including severe weather or supplier failure, we will notify the client and either reschedule or issue a refund for fees paid, excluding any non-recoverable third-party expenses. Clients are responsible for ensuring venue permissions and insurance coverage where required, and for any fees or penalties imposed by third parties related to cancellation or rescheduling.

Client responsibilities and dietary requirements

Clients must provide accurate guest counts and dietary restrictions in writing prior to the final menu confirmation. GreenPalate accommodates common dietary needs including vegetarian, vegan, gluten-free, and nut-free options. For complex or medically necessary accommodations, the client must inform GreenPalate with sufficient lead time so we can plan safe, designated menu items. GreenPalate will use reasonable care in meal preparation, but cannot guarantee the absence of allergens due to shared kitchen environments and supplier practices. Clients should notify guests with severe allergies to exercise caution and, where needed, arrange additional measures such as separate preparation areas. Clients are responsible for any venue rules or permits, and for providing accurate logistical details required for service delivery.

Intellectual property and content use

All site content, including text, images, design, and logos, is owned or licensed by GreenPalate and protected by copyright and other intellectual property laws. Clients receive a limited license to use menus and materials provided for their event. Reproduction, distribution, or use of GreenPalate trademarks, photos, or proprietary content for commercial purposes is not permitted without prior written consent. If GreenPalate produces creative content for a client and the parties agree to a transfer or license, the terms will be specified in a written agreement. User-submitted content, including messages and reviews, grants GreenPalate a non-exclusive license to display and use that content for marketing and site purposes while respecting applicable privacy commitments.

Limitation of liability and indemnification

To the fullest extent permitted by law, GreenPalate is not liable for indirect, incidental, special, or consequential damages arising from service delivery or site use. Our maximum aggregate liability for direct damages under these terms will not exceed the total amount paid in connection with the specific event or service at issue. Clients agree to indemnify and hold GreenPalate harmless from any claims arising out of client negligence, inaccurate information provided by the client, violation of venue rules, or failure to disclose material dietary or safety risks. Nothing in these terms seeks to exclude liability that cannot be limited under applicable law, such as liability for gross negligence or willful misconduct where such limitations are unenforceable.

Dispute resolution and governing law

These terms are governed by the laws of the State of Oregon, United States. Parties will seek to resolve disputes informally through good faith negotiations. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Multnomah County, Oregon, unless otherwise required by law. Arbitration decisions are final and binding, subject to limited judicial review. Each party bears its own costs, unless the arbitrator determines the prevailing party should be awarded fees. Clients may also pursue small claims actions for eligible disputes where arbitration would be inappropriate under local rules.

Changes to terms and contact information

GreenPalate may update these Terms of Service periodically to reflect legal, operational, or service changes. When material changes occur, the revised terms will be posted on this page with an updated effective date. Continued use of our site or services after publication of updated terms constitutes acceptance.
